Raising Money the Right Way, from the Right People


During our NewCo session, RWR Legal partner-level Corporate and Securities attorneys will explain how to raise money the right way, from the right investors. We will have an interactive discussion that delves into the ins-and-outs of private investor fundraising, touching on topics such as what qualifies as a security, how you can market and sell them without getting into trouble with the SEC and state securities commissions, why they are restricted and what that even means, and what a fraudulent securities statement is (not as cut-and-dry as you might think). We will also discuss, in detail, how to properly raise money from friends and family, the benefits and risks involved in raising money from accredited and non-accredited investors, and current market equity and debt financing trends and terms for start-ups and emerging growth companies. We will also provide a useful chart comparing popular ways to fundraise in a private securities sale under Regulation D (504, 505, 506(b), and 506(c)), Crowdfunding, and Regulation A+.
